This document is an electronic record in terms of the Information Technology Act, 2000 and the provisions pertaining to electronic records in various statues amended by the Information Technology Act, 2000.

The following agreement captures the terms and conditions of use (“Agreement”), applicable to Your use of rightandleft.com (“Website”). It is an agreement between You as the user of the Website and Talk and Cheese Private Limited (“Talk and Cheese”).

The expressions “You” “Your” or “User(s)” refers to any person who accesses or uses the Website for any purpose.

When using this Website or placing an order on it, You undertake and agree that You have fully read, understood and accepted the Agreement.

• Website
• Welcome to our Website. This Website is owned and operated by Talk and Cheese, a company incorporated under the provisions of the Companies Act, 2013 and having its registered office at

Level 17, Sunshine Tower, Senapati Bapat Marg, Dadar West, Parel, Mumbai, Maharashtra- 400013.

• This Agreement shall not be deemed to create any partnership, joint venture, or any other joint business relationship between Talk and Cheese and any other party.

• Services Provided By Talk and Cheese

• Talk and Cheese provides a number of Internet-based services through the Website. One such service enables Users to purchase original merchandise such as clothing, footwear and accessories from Talk and Cheese (collectively, “Products”). The Products can be purchased through the Website through various methods of payments offered. The sale/purchase of Products shall be additionally governed by specific policies of sale, like cancellation policy, exchange policy, return policy, etc. It is clarified that at the time of creating a return request, Users are required to confirm that the product being returned is unused and has the original tags intact. If the product returned by the User is used, or damaged or if the original tags are missing, the User’s return request shall be declined, and the said product shall be re-shipped back to such User. In the event that the return request is declined, the user shall not be eligible for a refund, and Talk and Cheese assumes no liability in this regard. Further, in the event that the User fails to accept the receipt of the said re-shipped product, the User shall continue to be not eligible for a refund, and Talk and Cheese assumes no liability with respect to the return or refund for the said re-shipped product. In addition, these Terms of Use may be further supplemented by Product-specific conditions, which may be displayed with that Product.

• User Eligibility

• User represents and warrants that they have the right to avail or use the Website, including but limited to any other services provided by Talk and Cheese in relation to the use of the Website. The Products and services offered by Talk and Cheese can only be availed by those individuals or business entities, including sole proprietorship firms, companies and partnerships, which are authorised under applicable law to form legally binding agreements. As such, natural persons below 18 years of age and business entities or organisations that are not authorised by law to operate in India are not authorised to avail or use the services provided by Talk and Cheese. If the User is under 18 years of age who intends to avail the services of the Website, such User should avail the services of the Website through its legal guardian in accordance with applicable law.

• User agrees to abide by this Agreement and any other rules and regulations imposed by the applicable law from time to time. Talk and Cheese shall have no liability to the User or anyone else for any content, information or any other material transmitted over the Website, including any fraudulent, untrue and misleading inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each User. Talk and Cheese at its sole discretion reserves the right to refuse the services or Products to anyone at any time. Talk and Cheese shall not be liable for the payment of any costs or compensation to any User who has suffered any loss or injury due to the use of the Website. The Products and services are not available and may not be availed or used by a User whose account has been suspended by Talk and Cheese.

• As a condition of use of the services and the Website, the User warrants that the User shall not use the Website for any purpose that is unlawful or illegal under any law for the time being in force within or outside India or prohibited by these terms, conditions, and notices including both specific and implied. In addition, the Website shall not be used by the User, in any manner, which could damage, disable, overburden, or impair it or interfere with any other party’s use and/or enjoyment of the Website. The User shall refrain from obtaining or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Website.

• User Agreement

• This Agreement applies to any person who accesses or uses the Website or uses services for any purpose.  It also applies to any legal entity which may be represented by any person who accesses or uses the Website, under actual or apparent authority. User may use this Website and/or services solely for their commercial/business purposes.

• This Agreement applies to all services and Products offered by Talk and Cheese, along with any additional terms and conditions that may be applicable in respect of any specific service used or accessed by User on the Website.

• Amendment to Agreement

• Talk and Cheese reserves the right to change, modify, amend, or update this Agreement without notice from time to time and such amended provisions of this Agreement shall be effective immediately upon being posted on the Website. If You do not agree to such provisions, You must stop using the Website with immediate effect. Your continuous use of the Website or services and Products offered by Talk and Cheese signifies Your acceptance of the amended provisions of the Agreement.

• Warranties and Disclaimer

• Talk and Cheese neither warrants nor makes any representations regarding the accuracy or completeness of any data or information contained on the Website.

• All the Products and services, included on or otherwise made available to You through the Website are provided on “as is” and “as available” basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the forgoing paragraph, Talk and Cheese does not warrant that: the Website will be constantly available, or available at all or the information on the Website is complete, true, accurate or non-misleading. The User expressly agrees that use of the Website is at its own risk.

• Breach

• Without limiting other remedies, Talk and Cheese shall remove and disable all such content on the Website; may limit the Users’ activity, warn Users and suspend or terminate the User’s membership, and/or refuse to provide the User with access to the Website if:
  • User is in breach of this Agreement;
  • Talk and Cheese is unable to verify or authenticate any information which the User provides;
  • It appears to Talk and Cheese that the User’s actions may incur legal liability for the User, other Users or Talk and Cheese;
  • Any monies payable by the User to Talk and Cheese are not paid on the due date; or
  • A complaint is received by Talk and Cheese from another User or a third party and such complaint is not resolved within 10 (ten) days from the date of receipt of the complaint by such User.

• Payments

• While availing any of the payment method/s available on the Website through our third-party payment merchants, we will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to You due to:
  • Lack of authorization for any transaction/s, or
  • Exceeding the present limit mutually agreed by You and between ‘Bank/s’, or
  • Any payment issues arising out of the transaction, or
  • Decline of transaction for any other reason/s

• All payments made against the purchases/services on the Website by you shall be compulsorily in Indian Rupees acceptable in the Republic of India. The Website will not facilitate transaction with respect to any other form of currency with respect to the purchases made on the Website.

• For all the purchase of an amount equal to or exceeding INR 2,00,000, the User will be required to upload a copy of its PAN card, within such time as may be prescribed from the date of purchase, failing which, the purchase made by the User will be automatically cancelled. The order shall also stand cancelled if there is a discrepancy between User’s name in the account with Talk and Cheese and the name printed on the PAN card.

• Privacy

• Personal information supplied by User(s) during the use of the Website is governed by Talk and Cheese’s privacy policy.

• Confidentiality

• All information and data submitted the Users shall become the property of Talk and Cheese. Except for disclosures of the nature set forth herein including in Clause 9 (Privacy), Talk and Cheese shall not release any such data and information without the prior consent of the Users.

• User has access to only the User’s own data and information stored in the database and nothing more. User may edit or amend such data and information from time to time, provided that the terms and conditions under this Agreement are complied with.

• All confidential information (including name, e-mail address etc.) voluntarily revealed by the User is disclosed at the sole discretion and risk of the User. If such information is collected by a third party using the Website and misused or results in unsolicited messages from such third parties, then such actions are beyond the control of Talk and Cheese, and Talk and Cheese accepts no responsibility or liability whatsoever for such actions.

• Talk and Cheese does not require a User to disclose to its employees and/or other User’s any sensitive personal data or information on the Website.

• The User is cautioned not to reveal any sensitive personal data or information to third parties on the Website.

• Limitation of Liability

• By using the services, you agree that the liability of Talk and Cheese, its parents, affiliates, related companies, officers, directors, employees, agents and representatives, shall be limited to the maximum extent permissible by applicable law. In no case shall Talk and Cheese, its directors, officers, employees, affiliates, agents, contractors or principals, be liable for any direct, indirect, incidental, punitive, special, or consequential damages arising from your use of the services or any content or for any other claim related in any way to your access to the Website and/or use of the services, including, but not limited to, any errors or omissions in any content or information on the Website, or any loss or damage of any kind incurred as a result of the use of the services and/or reliance on any content or information on the Website.

• Indemnification

• The User agrees to indemnify and hold harmless, Talk and Cheese including its affiliates, associates and their respective owners, directors, officers, agents, shareholders and partners from and against all actions, proceedings, claims, losses, damages and costs (including attorney fees) and other expenses suffered or incurred due to or attributable to or arising out of (i) violation of any applicable law (ii) breach of any representations, warranties or covenants of the User (iii) breach of the policies, guidelines and conditions of Talk and Cheese’s service or Additional terms or these conditions; (iv) infringement of any third party rights.

• This Clause survives the conclusion or cancellation of the transaction on the Website or the removal or termination of these conditions.

• Intellectual Property Rights

• ⦁ Talk and Cheese is the sole owner of all the rights to the Website and its content (“Website Content”). Website Content means the design, layout, text, images, graphics, sound, video etc. of or made available on the Website. The Website Content embodies trade secrets and other intellectual property rights protected under worldwide copyright and other applicable laws pertaining to intellectual property. All title, ownership and intellectual property rights in the Website and the Website Content shall remain in Talk and Cheese.

• All copyright and/or know-how and/or any other intellectual property rights in relation to any of the services or Products offered by Talk and Cheese shall become and remain the sole and exclusive property of Talk and Cheese and the User shall have no claim to the same. In the event the User has contributed to any content in any manner whatsoever on the Website, all intellectual property rights to the same shall become the absolute property of Talk and Cheese, including all intellectual property rights therein and the User shall have no right or claim over the same.

• Notices

• Any notice or other information required by this Agreement to be given by a User and/or Talk and Cheese to the User/Talk and Cheese may be given by email or by hand delivery or sent by courier service to the User or Talk and Cheese, as the case maybe, in the manner as elected by the User/Talk and Cheese giving such notice:

• In case of notices to the User, to the registered email address provided at the time of registration of the User.

• Third Party Content, Sites, and Services

• The Website and the content available through the services or Products offered by Talk and Cheese may contain features and functionalities that may link or provide the User with access to third party content which is completely independent of the Website, including websites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the internet as a whole.

• User’s interactions with organizations and/or individuals found on or through the use of Website, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between the User and such organizations and/or individuals.

• The User agrees that Talk and Cheese shall not be responsible or liable for any loss or damage of any sort incurred as a result of any such dealings. If there is a dispute between Users of the Website, or between Users and any third party, the User understands and agrees that Talk and Cheese is under no obligation to become involved. In the event that the User has a dispute with one or more other Users or third parties, the User hereby releases Talk and Cheese, its partners/directors, officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the services provided by Talk and Cheese.

• Suspension, Reinstatement and Refunds

• Without prejudice to any other rights or remedies that may be available to it, Talk and Cheese may suspend all services provided, remove and/or limit access rights of a User for a breach or violation as is set forth herein or otherwise.

• User hereby authorizes Talk and Cheese to limit services to a User against whom a complaint is received, which remains unresolved or is not amicably settled with 10 days of the date of the complaint by the aggrieved User.

• When the services subscribed for is suspended without remedy for more than 45 days, Talk and Cheese shall have the option to terminate the membership of the User and the consequences set forth in Clause 17 (Termination of Agreement) shall follow.

• Talk and Cheese may at its discretion and subject to such terms as it deems proper, re-start the services provided.

• If a User is dissatisfied with services offered by Talk and Cheese, then such a User may discontinue the use of the Website and request Talk and Cheese for a refund provided the request is made in writing and addressed to the Grievance Officer in terms of Clause 19 (Grievance Redressal). Talk and Cheese may, at its sole discretion either accept or decline the request for a refund by a User.

• Termination of Agreement

• The User hereby agrees that Talk and Cheese, in its sole discretion, has the right (but not the obligation) to delete or deactivate a User’s account, block its email or IP address from the Website, or otherwise terminate its access to or use of the Website immediately and without notice, and remove any content hosted within the Website, for any reason, including, without limitation, if Talk and Cheese believes that the User has acted inconsistently with this Agreement. Further, the User agrees that Talk and Cheese shall not be liable whether for refunds or otherwise, to the User or any third-party for any termination of the User’s access to the Website.

• If Talk and Cheese terminates a User’s account, then such a User will not have the right to re-enrol or join the Website under a new account or name or an alias unless permitted to do so by Talk and Cheese (in writing). Notwithstanding anything contained herein, no membership charges will be refunded to such a User in case of termination.

• Post termination of the services provided to the User through the Website, the User’s personal information would reside in the Website’s database for a certain period of time. It is also clarified that certain terms and conditions of the policies, guidelines and conditions of Talk and Cheese’s service or additional terms or these conditions and the Privacy Policy continue to be binding on the User and if any User by default or otherwise is found using or dealing with the Website post termination of the service provided through the Website, Talk and Cheese shall have the right to take appropriate actions against the User. The User shall also be liable to compensate Talk and Cheese for any unauthorized use of the Website. 

• Liabilities upon Termination

• Without prejudice to any rights or remedies available to Talk and Cheese, the User shall upon termination of this Agreement be liable for payment of any balance fees or charges payable until the date of termination.

• The amounts due and payable to Talk and Cheese by the User upon termination shall be payable within 7 days of the date of termination.

• All complaints to the Grievance Officer shall be made in writing giving a detailed description of the complaint/grievance of the User.

• The Grievance Officer shall redress all complaints within one (1) month from the date of receipt of the complaint.

• Severability

• All provisions of this Agreement shall be severable and none of its provisions shall be affected by the invalidity of any other provision to the extent that such invalidity does not also render such other provision invalid.

• If any provision of this Agreement shall be prohibited by or adjudicated by a court to be unlawful, void, or unenforceable such provision shall to the extent required be severed from this Agreement and rendered ineffective as far as possible without modifying the remaining provisions of this Agreement and shall not be any way affect any other provisions or the validity or enforcement of this Agreement.

• Governing Law and Jurisdiction

This Agreement is governed by and shall be construed in accordance with the laws of India. The appropriate courts of competent jurisdiction at [Mumbai, Maharashtra] shall have the sole and exclusive jurisdiction to entertain, try and adjudicate any disputes arising between the parties in respect of or under this Agreement.
